Terms of Service

Welcome to SynthHires ("Company", "we", "our", "us"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Customer", "you"), and SynthHires, concerning your access to and use of the SynthHires autonomous agent orchestration platform, Bring Your Own Key (BYOK) architecture, Model Context Protocol (MCP) integrations, and related applications (collectively, the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.
1. Service Description and Architecture
1.1. Autonomous Agent Orchestration
SynthHires provides a platform for the orchestration of autonomous AI agents. The Services allow you to design, deploy, and manage multi-agent swarms utilizing third-party foundation models.
1.2. Zero Data Retention Proxy
The Services are architected as a stateless pass-through proxy. The Company expressly disclaims any retention, logging, or persistent storage of data transmitted during inference. Prompts, context windows, and model outputs generated via the Services exist solely in volatile memory for the duration of the computational cycle and are irrevocably destroyed upon process termination.
1.3. Bring Your Own Key (BYOK)
The Services require the Customer to provide their own API keys ("Credentials") for third-party foundation models (e.g., Anthropic, OpenAI, Mistral). The Customer is solely responsible for the validity, security, and billing associated with these Credentials. All Credentials provided via the SynthHires interface are encrypted client-side using robust cryptographic standards (e.g., AES-GCM) prior to transmission and are decrypted strictly in-memory during execution. The Company does not store unencrypted Credentials on persistent storage.
1.4. Model Context Protocol (MCP)
The Services support integration with enterprise data sources via the Model Context Protocol (MCP). The Customer is solely responsible for configuring, securing, and maintaining the infrastructure hosting the MCP servers. The Company provides the transport layer protocol but accepts no liability for unauthorized access, data exfiltration, or security breaches occurring at the MCP server endpoint.
2. Acceptable Use and Restrictions
2.1. Permitted Use
You are granted a non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms and applicable laws.
2.2. Prohibited Activities
You shall not use the Services to: a. Engage in any illegal, fraudulent, or malicious activity. b. Orchestrate autonomous agents for the purpose of unauthorized penetration testing, denial-of-service attacks, phishing, or deploying malware. c. Bypass, circumvent, or attempt to bypass or circumvent any rate limits, security measures, or access controls implemented by the Company. d. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the orchestration engine. e. Violate the acceptable use policies, terms of service, or licensing agreements of the underlying foundation models accessed via your BYOK Credentials. f. Process, transmit, or orchestrate highly regulated data (e.g., Protected Health Information under HIPAA, Payment Card Industry data) unless explicitly covered by a separate Business Associate Agreement (BAA) or Enterprise Agreement with the Company.
3. Intellectual Property Rights
3.1. Company Intellectual Property
Unless otherwise indicated, the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by the Company and are protected by copyright and trademark laws.
3.2. Customer Intellectual Property
The Customer retains all right, title, and interest in and to any data, code, prompts, instructions, or configurations inputted into the Services ("Customer Data"). By using the Services, you grant the Company a limited, non-exclusive, non-transferable license to process Customer Data solely to the extent necessary to provide the Services. Because of the Zero Data Retention architecture, this license is strictly ephemeral and terminates immediately upon the completion of the orchestration cycle.
4. Service Level Agreement (SLA)
4.1. Uptime Commitment
For Enterprise Tier customers, the Company guarantees a Monthly Uptime Percentage of 99.99% for the core Orchestration Engine and web dashboard.
4.2. SLA Exclusions
The Uptime Commitment does not apply to any downtime, suspension, or termination of the Services resulting from: a. Outages or degradation of third-party foundation model APIs (e.g., OpenAI API timeouts). b. Failures, latency, or unreachability of Customer-managed MCP servers. c. Invalid, revoked, or rate-limited BYOK Credentials provided by the Customer. d. Force Majeure events.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. UNDER NO CIRCUMSTANCES WILL THE COMPANY BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE COMPANY EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AMOUNT YOU PAID THE COMPANY IN THE PAST TWELVE (12) MONTHS.
6. Indemnification
You agree to defend, indemnify, and hold harmless the Company, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: a. Your use of the Services; b. Breach of these Terms; c. Any breach of your representations and warranties set forth in these Terms; d. Your violation of the rights of a third party, including but not limited to intellectual property rights; e. Any overt harmful act toward any other user of the Services with whom you connected via the Services.
7. Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Delaware, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
8. Modifications to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.
